General terms and conditions for business customers (B2B)

These conditions apply to orders from business customers in the wonderjeans dealer shop.

1. Provider and scope

The contractual partner is wonderjeans GmbH, Girardetstraße 65, 45131 Essen, Germany. Our dealer shop is aimed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) who order for their commercial or self-employed professional activity. Sales to consumers are not made through this shop.

Individually agreed agreements with you take precedence over these conditions.

2. Dealer access and ordering

To use the dealer shop, an activated dealer account is required. Please keep your company, billing and delivery details up to date and treat your access details confidential.

The presentation of the products is an invitation to place an order. By submitting it, you are making a binding contract offer. An automatic confirmation of receipt documents the receipt of your order. Acceptance occurs through our express order confirmation or delivery of the goods.

3. Assortment, NOS and seasonal goods

NOS refers to our reorder range. The actual availability depends on the available goods and our order confirmation. Seasonal goods may have different delivery periods; The dates agreed for your order are decisive. An assortment allocation alone is not a promise of immediate delivery.

4. Prices and payment

The dealer prices are net prices per piece. In addition, there is the applicable statutory sales tax and stated shipping costs. The confirmed prices and individually agreed payment conditions apply to your order.

The payment term, due date and any agreed discount result from your agreement and the order confirmation or invoice based on it. A general discount or a uniform payment term is not granted with these General Terms and Conditions. Further information can be found under Payment information.

5. Delivery and shipping

Delivery is made to the agreed delivery address. Delivery dates, shipping costs and special shipping arrangements depend on the respective order. Our shipping service applies to goods in stock that are ready to be shipped: Orders placed from Monday to Friday by 11:00 a.m. will be shipped on the same day, excluding public holidays and subject to the agreed payment and delivery conditions. Pre-season orders and unavailable goods are excluded from this.

6. Retention of title

The delivered goods remain our property until the respective purchase price has been paid in full.

7. Inspection, defects and returns

The statutory defect rights apply. If the purchase is a commercial transaction for both parties, the statutory obligations to inspect and give notice of defects in accordance with Section 377 of the German Commercial Code (HGB) apply. If you have a complaint, please provide the invoice or order number, the item number and the reason for the complaint.

There is no statutory consumer right of withdrawal for orders as an entrepreneur. Taking back defect-free goods requires a separate agreement with us. Legal rights in the event of defects remain unaffected. Please coordinate the processing of a return with our sales department.

8. Liability and legal regulations

The statutory provisions apply to liability, statute of limitations and jurisdiction unless there is a valid individual agreement.
